Quantum Space SPAC Math: Trust, Dilution, Redemptions

IPFX trades near its $10.07 trust value as the Quantum Space SPAC heads to a vote. Here is the math on redemptions, the 12% preferred PIPE and who owns the combined company.

Quantum Space SPAC Math: Trust, Dilution, Redemptions

The Quantum Space SPAC comes down to four numbers: a trust worth about $10.07 per IPFX share, a stock that closed at $10.02, a $90 million minimum-cash condition, and a 12% convertible preferred that would own roughly a quarter of the company. Inflection Point Acquisition Corp. VI ($IPFX) agreed on June 8, 2026 to merge with spacecraft developer Quantum Space at a $600 million pre-money equity value, or about $1.2 billion after the deal if no shareholders redeem. The rest of the registration statement filed October 2, 2026 is detail around those four figures.

Our first report on the Quantum Space SPAC merger covered the June announcement. This follow-up does the arithmetic. Every figure below comes from the SEC filings or from dated closing prices, and where we did the math ourselves, we show it.

The trust: what an IPFX share is worth in cash

Inflection Point VI raised its money on March 30, 2026: 25,300,000 units at $10.00 each, for $253,000,000. Each unit holds one Class A share and one-third of a warrant to buy a share at $11.50. The cash sits in a trust account. Public shareholders can take it back at the vote, whether they vote for the deal or against it.

According to the S-4, the trust held $254,777,090 on June 30, 2026, or $10.07 per public share. IPFX closed at $10.02 on October 16, 2026. That is $0.05 below the June 30 trust value, a gap of about 0.5% ($0.05 ÷ $10.07). The trust is still earning interest (it booked $2,252,382 in the second quarter of 2026 alone), so the real redemption price will be set at the record date. The S-4 leaves that number blank for now.

The share price has made a full round trip since the announcement:

Date (2026)IPFX closeWhat happened
June 5$10.00Last close before the deal was announced
June 8$10.63Announcement day, on 5.16 million shares traded
June 11$10.92Highest close since the deal (intraday high $11.02 on June 12)
October 16$10.02Just below the $10.07 June 30 trust value

The 92-cent announcement premium is gone. At $10.02, the market is pricing IPFX like cash with a space option attached. It is not paying up for the space story.

Redemptions decide how much cash Quantum Space gets

A SPAC deal is only worth as much cash as the shareholders who stay in. The S-4 models three outcomes, using the June 30 trust value:

ScenarioNo redemptions50% redeemedAll redeemed
Cash paid out to redeemers$0$127,388,545$254,777,090
Deferred underwriting fee$12,045,000$9,095,542$4,000,000
Trust cash left after the fee$242,732,090$118,293,003$0
Cash per remaining public share$9.59$9.35n/a

The bottom row is the one holders tend to miss. If you don't redeem, your $10.07 of trust money becomes about $9.59 of cash inside the combined company once the underwriting fee is paid. The fee shrinks less than the trust does, so the more people redeem, the lower that per-share figure goes.

There is also a backstop. The merger agreement makes a $90,000,000 minimum cash condition part of Quantum Space's obligation to close. That condition counts trust cash left after redemptions plus the PIPE proceeds, minus both sides' transaction costs. Quantum Space can waive it. The S-4 warns that if everyone redeemed and the closing PIPE money did not arrive, the combined company could end up with a cash deficit.

The PIPE is preferred stock, not common

The June 8 press release described an initial "convertible PIPE at $12 per share" of about $300 million, anchored by Inflection Point Asset Management. The S-4 shows how that money is built:

  • About $60 million pre-funded, invested when the merger agreement was signed. It bought pre-funded preferred units in Quantum Space plus warrants on 5,882,352 Quantum Space common units at $12.00.
  • About $240 million at closing: 19,999,994 shares of 12.0% Series A Cumulative Convertible Preferred Stock with a $12.00 stated value, plus warrants on another 19,999,994 common shares. The arithmetic: 19,999,994 × $12 = $239,999,928.

Each preferred share converts into common at its accrued value divided by a $12 conversion price. Any dividend that builds up unpaid therefore turns into extra common shares later. The conversion price carries anti-dilution and down-round adjustments, with a floor that is the lower of $7.00 and the conversion price in effect. Holders can make the company buy the shares back for cash after the fifth anniversary of closing. The company can redeem them starting on the third.

For scale: 12% a year on $240 million of stated value is $28.8 million a year (0.12 × $240,000,000). Quantum Space's revenue for all of 2025 was $13.6 million. The preferred ranks ahead of the common stock, and that is the stock IPFX holders would end up owning.

Who owns New Quantum Space

The S-4 gives post-closing ownership under its two outer scenarios:

Holder groupNo redemptionsAll redeemed
IPFX public shareholders20.9%6.2% (warrants only)
Sponsor8.3%9.9%
Former Quantum Space equity holders~37%43.8%
Series A preferred holders (as converted)24.8%29.4%

Those are the S-4's own percentages. They count shares that sit behind warrants, and they assume the preferred converts at $12 with accrued interest on the pre-funded units through November 25, 2026. The four groups do not add up to 100%. The sponsor's slice comes from 8,433,333 founder shares, which are 25.0% of IPFX's ordinary shares today, plus 5,000,000 warrants. That makes 13,433,333 shares in all. The founder shares are locked up for six months after closing and the sponsor warrants for 30 days.

Former Quantum Space owners receive about $600 million of stock divided by the redemption price. At $10.07, the S-4 puts that at 59,581,499 shares.

What the $600 million buys: the operating numbers

PeriodRevenueNet loss
2024$1.7 million$19.2 million
2025$13.6 million$24.9 million
First half 2025$4.5 million$10.7 million
First half 2026$3.5 million$24.6 million

In the first half of 2026, Quantum Space lost more than twice as much as a year earlier, and nearly as much as in all of 2025. Operating expenses rose to $27.7 million from $10.6 million a year earlier, and research and development spending was $11.6 million. The $600 million pre-money value is about 44 times 2025 revenue ($600 million ÷ $13.6 million). This is a bet on contracts that have not been won yet.

Those prospects are large but conditional. Quantum Space is one of 14 awardees on the Space Force's Andromeda contract. Its ceiling is more than $6.2 billion shared across all 14, and the government has no material obligation to buy anything under it. Management's unweighted pipeline estimate went from "more than $5 billion" in the June release to about $7.5 billion in the S-4. The flagship Ranger spacecraft "is currently in development and has not been manufactured, operated or sold to date." Its Prime mission is slated to launch in the second half of 2027.

Common mistakes when reading the Quantum Space SPAC

  • Treating $1.2 billion as a fixed price tag. It assumes zero redemptions. Every redeemed share takes out about $10 of cash and lowers the post-deal value.
  • Using the wrong ticker. The SPAC is Inflection Point VI, $IPFX. $IPAX was Inflection Point's first SPAC, which took Intuitive Machines public in 2023. Our June article got this wrong and has been corrected.
  • Skipping the preferred. A 12% cumulative preferred that converts at its accrued value can claim a growing share of the company.
  • Reading a pipeline as backlog. An unweighted pipeline is a list of opportunities, not signed revenue.

Bull/Bear Verdict

Bull Case: IPFX trades within about 0.5% of its June 30 trust value. Holders keep the right to redeem for cash at the vote, while the Andromeda award and a pipeline estimated at $7.5 billion give Quantum Space room to grow into its valuation.

Bear Case: The company lost $24.6 million in the first half of 2026 on $3.5 million of revenue, its flagship spacecraft has not flown, and a 12% preferred ranks ahead of the common stock that IPFX holders would own.
